Separability. To the extent possible, the provisions of this Agreement shall be interpreted in such a way that they are valid and enforceable in accordance with the legislation in force. However, if one or more provisions of this Agreement prove to be invalid, illegal or unenforceable (in whole or in part), the remaining provisions and this Agreement remain in full force and effect, as if the invalid, illegal or unenforceable provision(s) never existed. In addition, in this case, the parties will modify the invalid, illegal or unenforceable part(s) and/or agree on a new provision as close as possible to the subject matter of the invalid, illegal or unenforceable provisions.

If the parties do not reach an agreement, the competent court may mitigate the inoperable provision of the (legal) permit. 3.5 Become an end customer. If the interested party has accepted a sale opportunity: (a) has not entered into an agreement with OutSystems; (b) have not been previously accepted by OutSystems as an accepted opportunity, which has been directed or introduced by another person, company or channel partner to OutSystems or which has been directly mandated by OutSystems; and (c) have not been previously documented as an end customer (as defined above); (d) and OutSystems finally enter into an agreement with the interested party of such an accepted opportunity, who is considered an end customer within the meaning of this agreement and OutSystems pays the partner commission to the channel partner, as set out below in section 4 and in accordance with the Channel Partner Program. “Confidential information” means non-public information; that a Party may obtain from or to which it has access under this Agreement, including, but not limited to, each Party`s proprietary data and software and computer operations, all codes, inventions, algorithms, business concepts, workflows, commercial, financial and technical information, know-how, proprietary information, conditions and prices under this Agreement and all information clearly identified as confidential or which, by reason of the nature of the information, should reasonably be considered confidential. “software” means OutSystems` software, including its updates, updates, platform or service, documentation, the description of which is set out in www.outsystems.com/evaluation-guide/. g. Data processing. To the extent that personal data is processed as part of the Program, the terms set forth in the HubSpot Business Partner Data Processing Agreement (published under legal.hubspot.com/business-partner-dpa) apply and are included by reference.

2.3 The Distributor undertakes to establish a form of End User License Agreement that regulates the basis on which End Users may use the Software and to ensure that the terms set out in Annex 3 are contained in a language understood by the End User, subject to non-substantial changes to this License.
